PRESENTATION
The GEPROMED Association has designed the explant analysis platform: https://explant.gepromed.com/. It enables surgeons and industrialists (Users) to access the explant analysis follow-up they have requested from GEPROMED. The platform allows them to access sensitive data essential to explant's analysis in a secure and protected digital space. In return, GEPROMED commits Users to act with confidentiality, benevolence, and a scientific spirit. The platform is not a medical device.
The platform allows:
- access explant analysis tracking ;
- communicate with GEPROMED on the follow-up analysis;
ACCESS TO THE PLATFORM
Only a surgeon for whom GEPROMED has approved the creation of a surgeon User account may access his surgeon User account, and only an industrial company for whom GEPROMED has approved the creation of an industrial company User account may access it. User accounts are nominative. User create their own password.
The User accesses his account using a strictly personal username and password. Therefore, the User ensures that no unauthorized person can access it through his account. The User must notify GEPROMED without delay if he becomes aware of a breach of security or unauthorized use of his account or in the event of loss or theft of his access codes. The reliability of the platform's resources is at stake.
The platform is accessible via the internet with any up-to-date browser, as well as via the internet on a mobile phone. The costs of communications and telephone subscriptions are the sole responsibility of the User.
EXPLANT ANALYSIS TRACKING
Each User can follow the explant analyses concerning them, but can also communicate on the follow-up via a messaging space on the platform. It is the User's responsibility to ensure the accuracy of the information transmitted, as well as its compliance.
In addition, no surgeons' patient health data should be transmitted via messaging. The purpose of the platform is not to analyze the file of the patient whose explant has been done, but to analyze the explant itself.
Under Article 9 of the GDPR, concerning the processing of health data, Surgeon Users cannot transmit their patients' data through this platform because there is no legal justification for doing so.
The content added by GEPROMED may be accessible only by the User according to his status (surgeon or industrialist) and according to the explants that concern him.
No patient health data will be made available to the industrial profile. Only information about the explant will be available to them on the platform.
SURGEON'S PROFESSIONAL SECRECY
In general, the User acknowledges that use of the platform does not partially or totally exempt him from his obligations in terms of respect for professional secrecy and patient privacy, and that he remains personally liable in this respect. It is therefore the User's responsibility to put in place all the necessary and adequate security measures to protect access to their professional mobile equipment.
The User undertakes to respect the absolute secrecy of the health and privacy information of his patients, which has come to his knowledge by any means whatsoever, in accordance with his legal, regulatory and ethical obligations as they result from Articles L 1110-4 of the Public Health Code, 226-13 of the Criminal Code and the Code of Ethics.
The User is therefore prohibited from communicating, directly or indirectly, any of the information concerning the patient and subject to the protection of medical confidentiality and privacy, to any unauthorized third party.
The User must not under any circumstances add personal data allowing any identification of patients.
ETHICS AND OBLIGATIONS OF THE HEALTHCARE PROFESSIONNAL
In using the platform, The User undertakes to unconditionally comply with all professional and ethical rules governing the practice of his profession as defined, in the Public Health Code and the Code of Ethics.
As such, the User acknowledges that the use of the platform does not infringe any of the ethical obligations, more particularly with regard to the principle of independence and prohibition of all advertising.
As such, the User is personally responsible for any disciplinary action that may be brought against him or her based on an act, behaviour or attitude contrary to any of the professional and/or ethical obligations that govern the exercise of his or her profession, including in the context of the use of the platform in general.
The User undertakes and guarantees compliance with the information obligations for which he is liable to each of his patients pursuant to Articles L.1111-2, L.1111-3 and L.1111-4 of the Public Health Code. The User acknowledges that his obligations are strictly personal and that in no case does the platform exempt him/her from his/her obligations, either in whole or in part.
RIGHTS GRANTED AND INTELLECTUAL PROPERTY
GEPROMED grants the User a personal, non-exclusive, non-assignable and non-transferable right to use the platform for the duration of the Explant Analysis Agreement.
The User may not under any circumstances make the platform available to a third party and strictly prohibits any other use, in particular any adaptation, modification, translation, arrangement, distribution, decompilation, without this list being exhaustive. The parties agree that any other use requires the express prior consent of GEPROMED, which may be refused at its discretion.
The knowledge base built up is based on a significant investment on the part of GEPROMED and this is why the right to databases recognizes it as its ownership. In order to avoid any risk of blocking and so that all Users can benefit from the continuity of the Service, the User accepts that he or she does not have any rights to the database.
GEPROMED remains the owner of all intellectual property rights on the studies, documents, database, software, drawings, models, prototypes, images, videos, computer codes created for the provision of the platform to Users. This is a form of protection that helps ensure the continuity of the Service.
The right to use the platform confers on the User a benefit in the exercise of his trade, but does not entail ownership.
GEPROMED is the sole holder of all rights to the platform and expressly reserves the exclusive right to:
- to intervene on the platform to allow it to be used in accordance with its intended purpose and in particular to correct errors;
- adapt, improve or develop new features.
If an act of counterfeiting is committed by a User, GEPROMED cannot be held liable.
PERSONAL DATA PROTECTION POLICY
Only the User's identifying data strictly necessary for the creation of his/her account and the use of the platform are collected and processed by GEPROMED.
The User is informed that he or she has a right of access and rectification that allows him/her, if necessary, to rectify, complete, update or delete personal data concerning him/her that is inaccurate, incomplete, ambiguous, outdated or whose collection, use, communication or storage is prohibited.
The User also has the right to object to the processing of his or her data for legitimate reasons as well as the right to object to this data being used for commercial prospecting purposes.

SERVICE AVAILABILITY
GEPROMED undertakes to intervene within a reasonable period of time in the event of a breakdown or anomaly making access to the platform impossible, in order to restore access.
Maintenance, evolution or correction operations are necessary to ensure the proper functioning of the platform and accessibility to the Database. For this reason, it is possible that GEPROMED may have to interrupt access to the platform for maintenance. Nevertheless, GEPROMED is committed to maintaining the availability of its service at an annual rate of 99.5%.
The User accepts that there can be no compensation or compensation for the temporary unavailability of the platform in this case.
SECURITY
All Users are informed of the lack of reliability of the Internet network, especially in terms of relative security in the transmission of data, unguaranteed continuity in access to the platform, unguaranteed performance in terms of volume and speed of data transmission and the spread of viruses.
As such, GEPROMED cannot be held liable for damage resulting from viruses of any form, bug(s), or even from any program or application that is incompatible with the infrastructure used by the User, nor for damage suffered by the User as a result of a breakdown, maintenance interruption, technical problem, interruption of the telephone network or telecommunications networks, overload, negligence or fault of third parties or the User or an incompatibility of the configuration of the User's Professional Mobile Equipment.
Each User is responsible for the implementation of a solution and security measures within his or her IT tool to prevent the spread of viruses.
GEPROMED makes its best efforts to make the platform accessible 24 hours a day, 7 days a week, but cannot be held liable in this respect.
GEPROMED'S RESPONSIBILITIES
GEPROMED is subject to an obligation of means for the service provided via the platform.
Users are free to use the platform or not, unless required by their health institution and acknowledge that their use does not exempt them from any of their professional and ethical obligations in force which govern the exercise of their profession. The results of explant analyses will only be communicated through the platform. No other means will be used to transmit the results.
GEPROMED implements all precautions in compliance with the rules of the art and the legislation in force and cannot be held responsible for errors made by the User during the process of using the platform or for the unreliability of the information transmitted.
GEPROMED may also not be held liable for any damage suffered by the User, in particular due to the interruption, unavailability or malfunction of the service regardless of the cause, loss of data, consequences resulting from any virus or force majeure event.

For maintenance reasons, access to the platform may be interrupted. GEPROMED will endeavour to warn Users in advance whenever possible. GEPROMED reserves the right to modify these T&Cs at any time and without notice.
GEPROMED's liability can only be incurred in the event of proven fault or negligence on its part and is limited to direct damage to the exclusion of any indirect damage of any kind whatsoever. In order to assert their rights, the User must, under penalty of forfeiture of any action relating thereto, inform GEPROMED, in writing, of the existence of the defects within a maximum period of 15 days from their discovery.
USER RESPONSIBILITIES
The User undertakes to use the platform only for a purpose that complies with public order, morality and the rights of third parties. The User acknowledges that he/she uses the platform under his/her sole and exclusive control, direction and responsibility.
The User undertakes to provide up-to-date and complete information and remains fully responsible for any consequences related to the provision of incorrect information concerning him/her. The User undertakes not to commit any act that could jeopardize the IT security of the platform and not to interfere with or interrupt the normal functioning of the same.
The User is responsible for all consequences that result from a transmission or handling error on his part.
REQUEST TO DELETE USER ACCOUNT
The User may request the deletion of his user account via the email address: explant@gepromed.com. Deletion of the User account will result in the deletion of all data related to the User account.
CONFIDENTIALITY
The platform is the result of a considerable financial, human and material investment on the part of GEPROMED. This is why the User undertakes not to divulge, to anyone, directly or indirectly, all or part of the information of any kind, commercial, industrial, technical, financial, nominative, etc., of which he or she may have become aware while using the platform.
This obligation applies both to the User and to the persons working under his responsibility.
Termination of the Agreement shall not relieve the parties of this obligation.
APPLICABLE LAW AND DISPUTES
The parties acknowledge and agree that the Contract is subject to French law.
In the event of disagreement, the parties must make every effort to find an amicable solution. If they are unable to do so, in the event of a dispute, the courts of the Strasbourg jurisdiction will have jurisdiction.
